“创一代”迈向老龄，逐步退出历史舞台，中国家族企业已经进入第一次大规模的交班。人们明显感觉到，在第一代企业家与第二代企业家之间，因为理念冲突和交流不畅，对家族企业的接班传承充满了困惑和迷茫。“我们既缺乏成功的经验，也缺乏失败的教训。”北京大学光华管理学院副院长金李发布了光华管理学院关于家族企业的最新研究成果报告。报告中指出，中国的家族企业在整个民营企业中占比高达85.4%，而未来5到10年内，这些企业中的大约3/4面临交棒接班问题。代际传承以外，民营企业也在迎接这自身转型和发展的浪潮。
近日，北京大学光华管理学院、牛津大学赛德商学院和哈佛商学院，共同启动高端管理教育国际项目——华人家族企业全球课程。这些世界顶级商学院之所以瞄准中国，其中很大一部分原因归结于华人家族企业的逐渐庞大，以及家族企业自身问题的凸显。
“在中国，在世界任何一个地方，家族企业其实都是主导经济发展的一个企业形式，大概75%到80%都是以家族企业的形式实现的。在中国是尤为明显的一种现象。”哈佛大学教授WilliamC.Kirby表示。
九成企业传不过三代
企业的传承是一个全球范围内的课题，并非易事，两代人之间的交棒甚至常常意味着企业的伤经动骨。根据美国的研究表明，只有70%的企业能从第一代传到第二代，传到第三代的比例只剩下10%，传到第四代或者以后的只有可怜的3%左右。而家族企业的平均寿命也不过20多年，这个时间大约等于创始人的工作年限。
除了企业无法延续，实现传承的企业也不容乐观。在东南亚的上市公司里面，家族企业从第一代向第二代交棒后，在五年之内的市值平均缩水六成。在国内A股上市企业做的粗略研究表明，A股公司的平均市值也会平均缩水四成以上。截至2014年7月31日，中国1485家A股民营上市公司中，家族企业有747家，占比50.3%。
全国工商联曾在2012年发布过一份《中国家族企业发展报告》，被调查的3000多家企业中，40%以上根本没有考虑传承问题。“世界是你们的，也是我们的，归根到底是那帮孙子们的。”北大光华管理学院副院长金李曾在培训课堂上，亲耳听到第一代企业家指着他们的后辈如此说到。显然，普遍的独生子女现象使得企业传承变得毫无悬念。然而在父辈或者子女面前谈论生死传承一直是中国传统文化的禁忌。台湾“经营之神”台塑集团创始人王永庆是一个极端案例，在90岁高龄时才最终确定接班计划。
换班的关口在逐步靠近。2013年福布斯中国富豪榜已经有40家企业的富二代进入，这些继承人大多非常年轻，以80后为主，例如新希望集团刘永好之女刘畅出生于1980年、娃哈哈集团宗庆后之女宗馥莉出生于1982年，而这部分人大多在国外受过教育和训练。她们已经开始回国打理父辈们的生意。
“创一代”们在努力为后辈们创造一个优渥的成长环境，而另一方面又觉得自己的孩子成熟于温室，经不起挫折。曾有位企业家对金李表示，“我是一只老虎，但是我的孩子就是一只羊，如果将来我不在了，这个企业他还能够控制住吗？”这位企业家的话代表了很大一部分创一代们的心理，他们历经重重困难和挫折，从千军万马中脱颖而出，而他们的后辈们更多的是站在他们的肩膀之上。父辈们对于后辈能否延续家族企业的辉煌普遍表现出忧虑。
近八成“二代”不愿意接班
父辈们担心家族大业后继无人，努力将孩子们送出国留学深造，而事实上，这些家族企业的后辈们，对于父辈们的企业兴趣并不大。
根据北大光华管理学院在江浙一带的调查和统计，愿意接班的第二代企业家只占20.5%，选择自主创业的比例为69.3%，剩下的10%左右，宁愿放弃父辈的企业，选择做其他的工作，比如医生、律师等等。
曾有家族企业的“二代”私下对金李说，相比于父辈把公司交到他们手中，他们更倾向于把企业卖掉，把股权折算成钱，给钱更加方便，“这个钱我怎么花，和你没有什么关系，这是我的决定。”这些人们眼中的富二代多数并不愿意在父辈的余荫下生活，在金李的培训班上，他曾听到二代几乎用呐喊的方式喊出自己的心声：你们曾经是白手起家，你们能不能也给我一次白手起家证明我自己的机会。
如此大比例的二代们拒绝从父辈手中接棒，个中原因复杂。其中1/3认为父辈从来都不放心二代们，依然会将权利把控在自己手中。而在这些久经沙场的“创一代”看来，后辈们总归太幼稚、太弱小。有1/3则自我认为资历太浅，难当大任。剩下1/3则是另有考量。通常而言，二代们愿意接班的因素中，大多存在于公司老臣对第二代比较信任，关系正面，继承者会更加容易留在企业接班；企业本身管理的规范化程度越高，继承者愿意接班的意愿也会越强；企业规模越大，继承者愿意接班的可能性也会越大。
既然有如此多的二代并不情愿接班，职业经理人开始成为家族企业的另外一种选择。《福布斯》2014年发布的中国现代家族企业调查报告中表明，在香港上市的内地企业由家族成员担任CEO的比例在继续下降，更多的职业经理人开始进入家族企业的管理之中。在国内的家族企业中，大概有100家左右的家族企业现在已经把经营大权交付给职业经理人。
事实上，职业经理人实际接班的比例并不高。在继承者没有能力或者没有意愿接班的家族企业中，只有24%的企业最终聘用了职业经理人。在国内职业经理人市场并不发达的当下，把权力移交给一位与公司本身并无太多关联的人并非毫无风险。譬如当年的国美，随着公司灵魂人物黄光裕的入狱，国美陷入了职业经理人与创始人家族之间的争斗，严重的内耗最终使得国美掉队。
“中国的高端人才市场，相对于欧美并不发达，有巨大的信息不对称和道德风险，这些问题不解决，中国家族企业的职业经理人道路依然任重而道远。”金李说。
